1. About these Terms

These User Terms and Conditions (“Terms”) govern access to and use of the Relay Strata website and platform.

Relay Strata is operated by Naked Rivals Pty Ltd ABN 72 665 070 477, trading as Relay Strata (“Relay Strata”, “we”, “us” or “our”).

By creating an account, accepting an invitation, accessing a property risk record or otherwise using Relay Strata, you agree to these Terms.

If your organisation has entered into a separate subscription, service, pilot or commercial agreement with Relay Strata, that agreement also applies. If there is an inconsistency, the specific commercial agreement will take priority to the extent of that inconsistency.

2. What Relay Strata does

Relay Strata is a technology platform designed to create a controlled, shared record of the information, evidence, people, actions and decisions involved in strata insurance.

The platform may provide functionality including property insurance risk records, document storage and processing, AI-assisted document extraction, property and insurance data management, risk recommendations and action tracking, declarations, insurance renewal preparation, market submissions, insurance quotations and terms, comparisons and recommendations, participant and permission management, and workflow and communication tools.

Features may evolve as the platform develops.

3. Relay Strata is a technology provider

Unless expressly stated otherwise, Relay Strata does not act as an insurer, underwriting agency, insurance broker, financial adviser, strata manager, owners corporation, valuer, engineer, legal adviser or other professional adviser.

Information, summaries, comparisons and automated outputs provided through Relay Strata do not constitute financial product advice, legal advice, underwriting advice or a recommendation by Relay Strata that a particular policy, insurer, premium, coverage limit or course of action is appropriate.

Professional and insurance decisions remain the responsibility of the relevant authorised parties.

4. Accounts and authority

You must provide accurate information when creating or using a Relay Strata account.

You are responsible for maintaining the security of your login credentials and must not permit another person to use your account.

If you use Relay Strata on behalf of an organisation, you represent that you have authority to act on behalf of that organisation for the actions you take.

If you create a property, upload information, invite a participant, assign a permission, disclose information, make a declaration, submit information to an insurer, or approve or record a decision, you represent that you have appropriate authority to do so.

5. Controlled access and permissions

Relay Strata is not an open database.

Access to property and insurance information is controlled through authenticated accounts, organisations, property-specific access and permissions.

Being a Relay Strata user does not give a person a general right to view other customers, properties or insurance records.

A user's authority may include some or all of the ability to:

Different users involved with the same property may have different authority. Users must not attempt to access, use, extract or modify information beyond the authority granted to them.

6. Customer data belongs to the customer

To the extent you or your organisation owns information uploaded to or created within Relay Strata, you retain ownership of that information.

Relay Strata does not acquire ownership of customer information, property information, insurance information, claims information, uploaded documents or other underlying customer data.

You grant Relay Strata a limited, non-exclusive right to host, copy, process, analyse, structure, display and transmit that information only where reasonably necessary to provide, secure, support or improve the Relay Strata service.

We do not provide customer data to third parties for advertising, marketing, profiling, data brokerage or unrelated commercial purposes.

7. Authorised collaboration is not independent data sharing

Relay Strata exists to enable authorised organisations involved in an insurance process to collaborate.

Where an authorised user deliberately invites another organisation, sends an insurance submission, provides information to an insurer, shares a renewal review or otherwise uses a Relay workflow to provide information to another authorised party, the information may become available to that recipient.

Relay Strata does not independently decide to distribute that customer information across its customer base or the wider market.

Users are responsible for ensuring that they have authority to provide information to recipients they select.

8. Technology providers

Relay Strata may use specialist technology providers to operate the platform, including providers of cloud infrastructure, database and document storage, authentication, artificial intelligence, communications, analytics, monitoring and security services.

Those providers process information on Relay Strata's behalf for the purpose of providing their services to us.

The use of a service provider does not give that provider a right to independently sell or market customer information. Our Privacy Policy contains further information about our principal technology and data-processing arrangements.

9. Artificial intelligence

Relay Strata may use artificial intelligence and automated technologies to assist with extracting information from documents, structuring property and insurance information, identifying missing or conflicting information, extracting risk recommendations, generating summaries, comparing information and supporting workflow.

AI outputs can be incomplete or inaccurate. Users must review and verify information that is material to an insurance, underwriting, property, legal, financial or professional decision.

Relay Strata does not warrant that automatically extracted or generated information is complete or error-free.

Relay Strata does not itself use AI to make binding decisions about insurance acceptance, premium, coverage or selection of an insurer.

10. Information you provide

You represent that, to the best of your knowledge, information you provide is accurate, you have authority to provide it, its use does not unlawfully infringe another person's privacy, confidentiality or intellectual property rights, and you will not knowingly upload unlawful, malicious or misleading content.

You are responsible for ensuring that information requiring professional verification is appropriately reviewed.

Relay Strata may display the source or provenance of information to assist users in understanding where information originated.

11. Information about other people

Property and insurance records may contain information about individuals who are not Relay Strata users.

If you upload, enter or share personal information about another person, you must have a lawful basis and appropriate authority to do so.

Relay Strata's handling of personal information is also governed by our Privacy Policy.

12. Security responsibilities

Relay Strata uses technical controls designed to restrict access to authorised users.

You must keep your login credentials secure, use your own account, not share passwords, promptly notify us of suspected unauthorised access, not bypass security or permission controls, and remove or update access where a user's authority has changed and you are responsible for managing that authority.

We may suspend access where reasonably necessary to protect a customer, user, property record or the Relay Strata platform.

Once information has been deliberately provided to another authorised organisation through Relay Strata, that organisation may have its own legal, regulatory, professional or record-retention obligations.

Relay Strata is not responsible for independent actions taken by an authorised recipient after information has been lawfully provided to that recipient.

Relay Strata is not a party to insurance contracts, broker appointments, strata-management agreements, underwriting authorities or other agreements between users unless expressly stated otherwise.

15. Demo and trial environments

Relay Strata may provide demonstration or trial access.

Demo information may be fictitious, illustrative, incomplete or deliberately simplified. Demo information must not be relied upon for any real insurance, underwriting, property or professional decision.

Unless Relay Strata expressly provides a secure pilot environment for that purpose, users should not upload real confidential, personal or customer information into a publicly accessible demonstration environment.

Demo or trial access does not create a right to continued free access.

16. Intellectual property

Relay Strata's software, platform design, workflows, functionality, branding and underlying intellectual property are owned by or licensed to Relay Strata.

These Terms do not transfer ownership of that intellectual property to you. Customer data remains subject to clause 6.

You may not reproduce, copy, licence, resell or create a competing product from Relay Strata's software or proprietary platform materials except with our written permission or as otherwise permitted by law.

Feedback and suggestions voluntarily provided to us may be used to improve Relay Strata without payment or restriction.

17. Availability and changes

We aim to provide a reliable and secure service but do not guarantee that Relay Strata will always be available, uninterrupted or error-free.

We may modify or improve features from time to time and may temporarily restrict access where reasonably necessary for maintenance, upgrades, security, legal requirements or protection of users or information.

18. Fees

Fees for paid Relay Strata services will be agreed with the relevant customer through an order form, proposal, subscription agreement, pilot agreement or other commercial arrangement.

Unless otherwise agreed, fees paid by one organisation do not alter the ownership of another party's data or give that organisation additional rights to information beyond the permissions applicable to the relevant property.

19. Suspension and termination

We may suspend or restrict access where we reasonably believe these Terms have been materially breached, an account or permission is unauthorised, there is a security risk, continued access may cause harm, payment obligations have not been met, or suspension is required by law.

An organisation responsible for managing users may also remove or change user access.

Where reasonably practicable, we will provide notice before materially suspending or terminating a customer's service.

Termination does not transfer ownership of customer data to Relay Strata. Data export, retention and deletion arrangements may also be addressed in the customer's commercial agreement.

20. Accuracy and reliance

Relay Strata depends substantially on information supplied by users, documents and third parties.

We cannot guarantee that information supplied by another participant is complete, accurate or current.

Nothing in Relay Strata removes or replaces professional duties owed by brokers, insurers, underwriting agencies, strata managers, owners corporations or other professional users.

Users remain responsible for checking information relevant to their decisions and responsibilities.

21. Liability

Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy that cannot lawfully be excluded under the Competition and Consumer Act 2010 (Cth), the Australian Consumer Law or other applicable legislation.

To the maximum extent permitted by law, Relay Strata is not liable for indirect or consequential loss, loss of profit, loss of opportunity or loss arising from an independent insurance, underwriting, financial, property or professional decision made by a user or third party.

Where our liability for services cannot lawfully be excluded but can be limited, our liability will be limited, at our option and to the extent permitted by law, to supplying the relevant services again or paying the reasonable cost of having those services supplied again.

A separate commercial agreement may contain additional or different liability provisions.

22. Privacy

Our Privacy Policy forms part of the way Relay Strata manages personal information and should be read alongside these Terms.

In particular, Relay Strata does not sell or commercialise customer data and access to property information is governed by authority and permissions.

23. Changes to these Terms

We may update these Terms as Relay Strata develops.

Where a change materially affects existing customers, we will take reasonable steps to notify them.

The current version will display its effective date.

24. Governing law

These Terms are governed by the laws of New South Wales, Australia.

The parties submit to the jurisdiction of the courts of New South Wales and the Commonwealth of Australia.
